I help owners of family businesses make safe decisions for years to come.

I combine law, tax and the owner's perspective, supporting family businesses in succession, reorganisation, asset protection and current challenges.

Decisions concern more than the business

In family businesses, legal and tax issues rarely arise in isolation. A decision about the structure of the business may affect the owners' liability, the family's situation, the future of the assets and the possibility of passing the business on to the next generation. The same applies to decisions taken in day-to-day operations: their significance often goes beyond a single contract, transaction or settlement.

How I help

I organise the scope of cooperation into three pillars. Each of them addresses a different kind of need, but in practice they often overlap.

01

Business, family and assets

I help plan the relationship between ownership of the business, responsibility for running it and the security of the family and its assets. I also support owners in day-to-day decisions on exercising ownership rights, rules of cooperation and the use of assets.

  • succession of ownership and management
  • family foundation
  • rules of cooperation between family members
See the scope of support: Business, family and assets
02

Business structure and growth

I support owners in designing a structure that reflects the current scale of the business, allows decisions to be made efficiently and does not limit further growth.

  • company conversions
  • reorganisation of family groups
  • Estonian CIT
See the scope of support: Business structure and growth
03

Tax and security

I help identify the tax consequences of current and planned decisions, limit risks and build solutions that can be applied in day-to-day operations.

  • ongoing tax advisory
  • transfer pricing
  • tax audits and disputes

How I work

From an unclear situation to an informed decision

First we put the situation in order. Only then do we choose a solution.

  1. 01

I get to know the situation

We start with a conversation about the business, its owners, the family and the decision to be made. We establish what the real goal is, which constraints must be taken into account and which issues require further analysis.
  2. 02

    I organise goals and risks

I analyse the situation from a legal and tax perspective, as well as its business and ownership consequences. I separate problems that require a quick response from decisions that can be prepared in stages.
  3. 03

    I present possible scenarios

I present the available options together with their consequences, limitations and implementation conditions. I want the client to understand the differences between the solutions and to be able to make an informed decision.
  4. 04

I help implement the chosen solution

Once a direction has been chosen, I prepare the necessary steps and coordinate their implementation. Where the matter requires it, I work with other specialists, ensuring the consistency of the whole process. The cooperation may end with the completion of the project or continue as ongoing advisory. Ongoing advisory may also be a stand-alone model of cooperation, independent of any earlier project.

Law and tax are only tools. The starting point is your situation.

Why family businesses

A family business combines at least three perspectives: the business, the owners and the family. Each of them has its own needs, rules and time horizon.

What is good for the business today does not always match the family's plans for the years ahead. A solution that is correct from a tax point of view may not take account of the relationships between shareholders. Conversely, a well-planned transfer of assets does not always resolve the question of responsibility for running the business going forward.

That is why, when working with family businesses, I do not start by choosing a specific legal instrument. A family foundation, the conversion of a company or a shareholders' agreement can be useful tools, but only when they serve a clearly defined goal.
